Terms and Conditions

These Terms and Conditions ("Terms") govern your access to the Voxmin karaoke conversion platform, downloader tools, and related services (collectively, the "Service") operated by Voxmin ("Company," "we," "us," or "our"). By creating an account, purchasing credits, or using any part of the Service, you ("Customer," "you," or "your") agree to be bound by these Terms and our Acceptable Use Policy ("AUP"). If you do not agree, you must not access or use the Service.

1. Definitions

• Account: The profile created to access the Service and store Voxmin credits.
• Credits: Prepaid units that may be exchanged for karaoke video, audio-only conversions, or other in-app features.
• Content: Audio, video, lyrics, artwork, metadata, or any other material uploaded or requested by you through the Service.
• Download Tools: Free utilities provided by Voxmin that allow retrieval of publicly available media files.
• Platform: The web experience, future mobile applications, APIs, and dashboards offered by Voxmin.

2. Eligibility and Account Responsibilities

2.1 Minimum Age: You must be at least 18 years old, or the age of majority in your jurisdiction, to create an Account.

2.2 Accurate Information: You agree to provide accurate and complete information during registration and to keep it updated.

2.3 Account Security: You are responsible for maintaining the confidentiality of login credentials and for all actions taken through your Account. Notify us at [email protected] immediately if you suspect unauthorized use.

2.4 Community Standards: You are responsible for ensuring invited collaborators, bandmates, or coaching clients comply with these Terms and the AUP when using shared credits or projects.

3. Scope of Service

3.1 Feature Set: The Service currently includes free media downloads from YouTube links, AI-assisted vocal removal, and karaoke video export (MP4) and audio export (MP3) from YouTube links or uploaded audio/video files. Feature availability may evolve as we launch the Voxmin app and dashboard.

3.2 License to Use: Subject to these Terms, Voxmin grants you a limited, non-transferable license to access and use the Platform for lawful personal, educational, or professional karaoke preparation.

3.3 Third-Party Integrations: Certain features may rely on external providers (for example, payment gateways or storage). Such services are governed by their own terms, and Voxmin is not responsible for their performance.

3.4 Beta Features: Access to experimental or beta features may be subject to additional guidelines. Beta functionality is provided "as is" and may change or be withdrawn at any time.

4. Acceptable Use and Ownership

4.1 Lawful Use Only: You may not use the Service to violate copyright, publicity, privacy, or any applicable law. You must ensure you have rights to the underlying media before requesting conversions or sharing exports.

4.2 Prohibited Conduct: You agree not to:

• Circumvent digital rights management, licensing, or other access controls.
• Upload or distribute malware, harmful content, or spam.
• Resell Voxmin credits or outputs without our written consent.
• Attempt to reverse engineer, scrape, or abuse the Platform infrastructure.
  4.3 Your Content: You retain ownership of the Content you upload or request. You grant Voxmin a limited license to process, transform, store, and deliver outputs solely for providing the Service.
  4.4 Generated Materials: Karaoke videos, lyric files, instrumental mixes, and other exports generated through Voxmin are provided for your personal or professional performances subject to relevant copyright rules. You are responsible for obtaining any necessary public performance or synchronization licenses.
  4.5 Brand Assets: All Voxmin trademarks, logos, and proprietary software remain the property of the Company. You may not use our branding without prior written approval.

5. Credits, Fees, and Payments

5.1 Credit Wallet: The Service operates on prepaid credits. Current pricing is available at voxmin.com/pricing and may change with prior notice.

5.2 Billing: Credits are charged at the time of conversion or when purchasing optional add-ons. Taxes, currency conversion, or payment processor fees may apply depending on your location.

5.3 Payment Methods: We accept the payment methods shown at checkout. You affirm you are authorized to use the selected payment instrument.

5.4 Auto-Reload: If you enable auto-reload, you authorize Voxmin to charge your saved payment method whenever your balance falls below the threshold you choose. You can disable auto-reload at any time from your Account settings.

5.5 Refunds: Credits are generally non-refundable. The limited refund scenarios described in the Refund Policy apply and are incorporated into these Terms.

5.6 Promotions: Promotional credits or discounts may be subject to expiration dates or additional conditions. Voxmin may modify or terminate promotions at any time.

6. Privacy and Data Handling

Your personal data is processed in accordance with the Voxmin Privacy Policy, which forms part of these Terms. By using the Service, you consent to the collection and use of information as described in that policy.

7. Uptime, Support, and Modifications

7.1 Availability: Voxmin aims to keep the Platform available at least 99% of the time each calendar month. Planned maintenance or unexpected outages will be communicated via status updates when feasible.

7.2 Support Channels: You can reach us at [email protected] for technical assistance, billing questions, or feature feedback. Priority response times may vary by plan.

7.3 Service Changes: We may update, enhance, or discontinue parts of the Service to improve user experience or security. Material changes will be communicated in advance when possible.

8. Term, Suspension, and Termination

8.1 Duration: These Terms remain in effect from the moment you create an Account until terminated.

8.2 Your Termination Rights: You may close your Account by submitting a request through the Platform or by emailing [email protected]. Closing your Account does not automatically trigger a refund of unused credits.

8.3 Suspension by Voxmin: We may suspend or terminate access without prior notice if we reasonably believe you violated these Terms, misused the Service, engaged in fraudulent activity, or allowed your Account to remain unpaid.

8.4 Effect of Termination: Upon termination, your license to use the Service ends and any remaining credits may be forfeited unless required otherwise by law or the Refund Policy.

9. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that conversions will meet specific artistic expectations or legal clearances.

10. Limitation of Liability

To the fullest extent permitted by law, Voxmin will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, or goodwill. Our aggregate liability for any claim arising out of or relating to the Service will not exceed the greater of (a) the amount you paid Voxmin during the 12 months preceding the event giving rise to the claim or (b) INR 10,000.

11. Indemnification

You agree to indemnify and hold harmless Voxmin, its officers, employees, contractors, and partners from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Service, your Content, violations of these Terms, or infringement of any rights of others.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India without regard to conflict of law principles. Courts located in Delhi, India will have exclusive jurisdiction over disputes, except that Voxmin may seek injunctive or equitable relief in any jurisdiction to protect its intellectual property.

13. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Effective Date" and provide notice via email or in-app alerts before the changes take effect. Continued use of the Service after any update means you accept the revised Terms.
